1. Acceptance of Terms

By engaging our services, placing an order, signing a Statement of Work (SOW), or using our website, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

2. Scope of Services

We offer the following services, subject to mutual agreement via proposal, contract, or SOW:

• Custom web and mobile application development
• AI/ML model design, training, and deployment
• ERP system implementation and integration
• Staff augmentation and dedicated development teams
• Consulting, maintenance, and technical support

All deliverables are provided as described in the agreed-upon documentation. We reserve the right to refuse service for any lawful reason [[2]].

3. Quotes & Estimates

Quotations provided by Webeeyo are valid for 30 days from the date of issue and are based on the scope described at the time of estimation. Changes to project scope may result in revised pricing or timelines [[9]].

4. Payment Terms

Payment terms are specified in the invoice or SOW. Typical terms include:

• Advance payment (e.g., 30–50%) to commence work
• Milestone-based payments for long-term projects
• Final payment upon delivery and client acceptance

Late payments may incur interest at 1.5% per month or the maximum allowed by Indian law. We reserve the right to suspend work for non-payment.

5. Intellectual Property

Upon full payment, Webeeyo assigns all rights, title, and interest in the final deliverables (source code, designs, documentation) to the client, unless otherwise agreed in writing.

Pre-existing tools, libraries, frameworks, or reusable components developed by Webeeyo remain our intellectual property and are licensed for use in your project.

6. Confidentiality

Both parties agree to keep confidential all non-public business, technical, and financial information disclosed during the engagement. This obligation survives termination for a period of 3 years.

7. Warranties & Limitations

We warrant that services will be performed with reasonable skill and care in accordance with industry standards. All software is warranted free from material defects for 30 days post-delivery.

EXCEPT AS EXPRESSLY STATED HEREIN, SERVICES ARE PROVIDED "AS IS." WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE [[7]].

8. Limitation of Liability

To the fullest extent permitted by Indian law, Webeeyo’s total liability under this agreement shall not exceed the total fees paid by you for the specific service giving rise to the claim.

We are not liable for indirect, incidental, or consequential damages (e.g., lost profits, data loss, business interruption) [[8]].

9. Termination

Either party may terminate the engagement with 15 days’ written notice. Upon termination:

• Client pays for all completed work and incurred costs
• We deliver completed work-in-progress
• Confidentiality and IP clauses remain in effect

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Pune, Maharashtra [[8]].

11. Website Use

You agree not to use our website for any unlawful purpose or to transmit malicious content. We reserve the right to monitor, modify, or discontinue any part of the site without notice [[7]].

12. Changes to These Terms
